ChuksForge operates WhatsApp Business API-powered services and other messaging-based platforms for business clients. Users of these services agree that:
Formal engagements between ChuksForge and a client are governed by a written Engagement Letter or Statement of Work agreed between the parties, which sets out scope, deliverables, milestones, fees, and timelines. These Terms of Service apply to all engagements in addition to that document.

ChuksForge agrees to deliver services with reasonable skill and care, consistent with professional standards in the technology industry, and to communicate proactively about risks, delays, or scope changes.
ChuksForge IP: All intellectual property in our internal tools, frameworks, methodologies, reusable components, and pre-existing software ("ChuksForge IP") remains the exclusive property of ChuksForge. We grant clients a non-exclusive licence to use ChuksForge IP embedded in their deliverables for their own business purposes.
Client IP: All intellectual property owned by the client prior to or independent of the engagement ("Client IP") remains the property of the client. ChuksForge will have no claim to Client IP.
Deliverables: Unless otherwise specified in the Engagement Letter, intellectual property in custom deliverables developed specifically for a client (excluding embedded ChuksForge IP) transfers to the client upon receipt of full payment for the engagement.
Open-source components: Where deliverables incorporate open-source software, such components remain subject to their respective open-source licences. ChuksForge will identify material open-source dependencies in project documentation.
Portfolio rights: Unless the client requests otherwise in writing, ChuksForge reserves the right to reference the engagement in our portfolio and marketing materials in a manner that does not disclose confidential client information.
Fees for engagements are set out in the relevant Engagement Letter or Statement of Work. Unless otherwise agreed:
For the AI Readiness Assessment and similar advisory services, full payment is required before work commences. The assessment fee is credited against the fees of any subsequent project engagement initiated within 90 days.
Both parties agree to treat as confidential any non-public information disclosed by the other party in the course of an engagement ("Confidential Information"), including but not limited to business plans, technical specifications, financial data, client lists, and proprietary processes.
Confidential Information shall not be disclosed to third parties without the disclosing party's written consent, except where required by law or regulatory authority. Both parties will use Confidential Information solely for the purpose of the engagement.
This obligation survives termination of the engagement for a period of 3 years, except for trade secrets which are protected indefinitely.

AI-powered features within our products process inputs and generate outputs based on statistical models. Outputs may be inaccurate, incomplete, or inappropriate for specific purposes. You are responsible for reviewing and validating AI-generated content before relying on it for business decisions.
For formal client engagements, ChuksForge warrants that services will be delivered with reasonable skill and care consistent with professional standards. This warranty is limited to the specific deliverables described in the Engagement Letter.
To the maximum extent permitted by Nigerian law, ChuksForge shall not be liable for:
Where liability cannot be excluded by law, ChuksForge's total liability to a client in connection with any engagement shall not exceed the total fees paid by that client to ChuksForge in the 12 months preceding the claim.
You agree to indemnify and hold harmless ChuksForge, its directors, employees, and contractors from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from:
By the client: Clients may terminate an engagement in accordance with the notice provisions in the Engagement Letter. Fees for work completed prior to termination remain payable.
By ChuksForge: We may suspend or terminate access to our Services or an engagement immediately if you materially breach these Terms or the Engagement Letter, become insolvent, or engage in conduct that poses risk to our systems or other clients. We will provide written notice of termination where practicable.
Effect of termination: Upon termination, access to platforms and APIs will be revoked. ChuksForge will make client data available for export for 30 days following termination, after which it will be deleted unless legally required to be retained.
These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. Where negotiation fails, disputes may be referred to mediation under the Lagos Court of Arbitration rules before litigation, where both parties agree in writing.
We may update these Terms of Service from time to time. Material changes will be communicated by updating the "Last Updated" date on this page and, for active clients, by email notification with at least 14 days' notice before the changes take effect.
Continued use of our Services after the effective date of updated terms constitutes acceptance of the revised terms.
